Operator and agreement

Spruce is independent software built and operated by an independent developer. By downloading or using Spruce, you agree to these terms. If you do not agree, do not use the software.

Permitted use

You may install and use Spruce for lawful personal or business file organization. You may not misuse the software, bypass access controls, distribute modified installers as Spruce, or use it to interfere with another person’s files or systems.

Beta availability

Spruce is beta software. Features, file-format support, and availability may change; interruptions and errors may occur. We may update or discontinue beta features as the product develops.

Your files and backups

You choose every folder Spruce can access and are responsible for reviewing plans, maintaining appropriate backups, and confirming that you have permission to change the selected files. History and undo are safeguards, not substitutes for backups.

Undo limitations

Undo depends on affected files and destinations still being available. Restoring deleted items also depends on them remaining in the system Trash or Recycle Bin. Changes made outside Spruce can prevent a run from being reversed.

Optional services

Core file processing happens on your computer. If you configure optional AI parsing, the instruction you submit is sent to the provider you select and is also governed by that provider’s terms and privacy policy.

Warranty disclaimer

To the maximum extent permitted by law, Spruce is provided “as is” and “as available,” without warranties of uninterrupted operation, error-free results, fitness for a particular purpose, or preservation of data.

Limitation of liability

To the maximum extent permitted by law, Spruce and its operator are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, or business opportunities arising from use of Spruce. Rights that cannot legally be limited remain unaffected.

Feedback

If you send feedback, bug reports, or suggestions, you allow them to be used to improve Spruce without an obligation to compensate you. You keep ownership of your original materials.

Governing law and contact

These terms are governed by the laws of Illinois, without regard to conflict-of-law rules. Questions can be sent to support@spruceapp.io.
